Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Systemi engineering analytics platform (the “Service”) provided by Systemi (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must create an account with a valid email address and verify your identity. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

2. Acceptable Use

You agree to use the Service only for its intended purpose: analyzing engineering delivery metrics. You may not:

  • Use the Service to violate any applicable law or regulation
  • Attempt to gain unauthorized access to other users’ data or accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems to scrape, crawl, or extract data from the Service
  • Resell, sublicense, or redistribute the Service without written consent
  • Interfere with or disrupt the integrity or performance of the Service

3. Subscriptions and Billing

The Service is available under multiple subscription tiers (Free, Team, Business, Enterprise). Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees.

Free Tier. The Free plan includes up to 5 contributors with 30-day data retention and limited features at no charge.

Upgrades. You may upgrade your plan at any time. Upgrades take effect immediately, and charges are prorated for the remainder of the billing cycle.

Downgrades and Cancellations. You may downgrade or cancel your subscription at any time. Downgrades take effect at the end of your current billing cycle. Upon downgrade, features and data retention limits of the new plan will apply.

Refunds. We generally do not provide refunds for partial billing periods. If you believe you have been incorrectly charged, contact us at billing@getsystemi.com.

4. Data and Integrations

The Service accesses data from third-party platforms (Jira, GitHub, Slack) through read-only API connections that you configure. You represent that you have the necessary rights and permissions to grant us read access to this data.

You retain all ownership rights to your data. We do not claim any intellectual property rights over your integration data. We use your data solely to provide the Service as described in our Privacy Policy.

5. Metrics Accuracy Disclaimer

Important Notice Regarding Metrics

The metrics, analytics, insights, forecasts, and reports provided by the Service (collectively, “Metrics”) are computed from data sourced from third-party platforms and are provided on an “as-is” and “as-available” basis for informational purposes only.

Systemi expressly disclaims all responsibility and liability for any mistakes, errors, inaccuracies, omissions, or misinterpretations in the Metrics. Metrics may be affected by incomplete data syncs, misconfigured integrations, delays in third-party API responses, data mapping errors, timezone discrepancies, or changes in how third-party platforms report data.

You acknowledge and agree that:

  • Metrics should not be the sole basis for personnel decisions including hiring, firing, promotions, or performance evaluations
  • Metrics are approximations derived from automated data processing and may not perfectly reflect actual engineering performance
  • You are solely responsible for verifying the accuracy of any Metrics before relying on them for business decisions
  • Systemi shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising from reliance on the Metrics

We encourage users to use Metrics as one input among many when making decisions, and to validate critical data points independently.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYSTEMI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any errors, mistakes, or inaccuracies in the Metrics or other content provided by the Service
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Service
  • Any other matter relating to the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Indemnification

You agree to indemnify, defend, and hold harmless Systemi and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Intellectual Property

The Service, including its design, features, functionality, and documentation, is owned by MDG LLC and is protected by intellectual property laws. “Systemi” is a trademark of MDG LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.

Self-Hosted Deployments. If you deploy Systemi on your own infrastructure, the End User License Agreement (EULA) applies in addition to these Terms. The EULA prohibits modification, reverse engineering, removal of license checks, redistribution, and rebranding.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5, 6, 7, 8, and 9.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
