End User License Agreement (Self-Hosted)

This End User License Agreement (“EULA”) governs your use of the Systemi engineering analytics software when deployed on your own infrastructure (“Self-Hosted Software”). By installing, copying, or using the Self-Hosted Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.
1. Grant of License
Subject to your compliance with this EULA and payment of applicable fees, MDG LLC (“Licensor”) grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Self-Hosted Software solely for your internal business purposes, for the number of seats and term specified in your license key.
2. Restrictions — You May NOT
You may not, and may not permit any third party to:
- Modify, reverse engineer, decompile, or disassemble the Software or any part thereof, except to the extent expressly permitted by applicable law
- Remove, bypass, circumvent, or disable any license validation, copy protection, or other technological measure that controls access to or use of the Software
- Redistribute, sublicense, lease, rent, loan, or otherwise transfer the Software or any copy thereof to any third party
- Rebrand, rename, or present the Software as your own product or under any name other than “Systemi”
- Use the “Systemi” name, logo, or trademark in any manner that implies endorsement, affiliation, or sponsorship without prior written consent
- Create derivative works based on the Software
- Use the Software beyond the scope of your license (e.g., exceeding seat limits, using after license expiry)
3. Intellectual Property and Trademark
The Software, including all copies, modifications, and derivative works, is the exclusive property of MDG LLC. All rights not expressly granted are reserved. The Software is protected by copyright, trademark, and other intellectual property laws.
“Systemi” is a trademark of MDG LLC. You may not use the Systemi name or logo to identify any product or service other than the Software as provided by Licensor. Any use of the Systemi trademark must be in accordance with Licensor's trademark guidelines.

The Software and documentation contain proprietary and confidential information. You must not remove or alter any copyright, trademark, or other proprietary notices.
5. License Key and Validation
Your right to use the Software is conditioned on a valid, unexpired license key. The Software includes license validation mechanisms. Tampering with or circumventing these mechanisms constitutes a material breach of this EULA and may result in immediate termination and legal action.
6. Term and Termination
This license is effective until the expiry date specified in your license key or until terminated. Licensor may terminate this license immediately if you breach any term. Upon termination, you must cease all use of the Software and destroy all copies.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL LICENSOR'S TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Governing Law
This EULA shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
